These Terms of Use (the “Terms”) are a legal agreement between earlyderm LLC (“earlyderm,” “we,” “us,” or “our”) and the person or entity accessing or using the earlyderm website, platform, educational materials, communications, and related services (collectively, the “Platform”).
Please read these Terms carefully. By accessing or using the Platform, creating an account, clicking to accept, or otherwise engaging with the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
1. Overview of the Platform
earlyderm provides an educational platform intended for healthcare professionals and related businesses. The Platform is designed to support professional learning and educational development. It is not designed for patient care management, medical recordkeeping, clinical documentation, or submission of patient data. These Terms govern your access to and use of the Platform, including any content, modules, tools, updates, communications, and related services we make available.
2. Acceptance of Terms
By using the Platform, you represent and agree that:
• you have read and understand these Terms;
• you are legally able to enter into a binding agreement;
• you will comply with these Terms and all applicable laws, rules, regulations, and professional obligations;
• if you use the Platform on behalf of an organization, practice, or other entity, you have authority to bind that entity to these Terms; and
• you will use the Platform only for lawful, authorized, and professional purposes.
If you are accepting these Terms on behalf of an entity, “you” includes both you and that entity.
3. Eligibility
The Platform is intended for adult users in a professional context. You may not use the Platform if:
• doing so would violate applicable law;
• you have been suspended or removed from the Platform;
• you are using the Platform for an unauthorized commercial purpose;
• you are under the age of 18; or
• you are not authorized to use the Platform under these Terms.
We may refuse access, limit functionality, or require verification of identity, professional status, or organizational affiliation at any time.
4. User Accounts
4.1 Account Registration
To access certain features, you may be required to create an account and provide information such as your name, email address, professional title, employer, specialty, practice setting, or other registration details.
You agree to provide information that is:
• accurate;
• current;
• complete; and
• kept up to date.
4.2 Account Security
You are responsible for:
• maintaining the confidentiality of your login credentials;
• restricting access to your account and devices;
• all activity that occurs under your account; and
• notifying us promptly of any suspected unauthorized access, misuse, or security incident involving your account.
We are not responsible for losses arising from your failure to protect your credentials or secure your account.
4.3 Organizational Accounts
If your access is provided through an employer, group practice, institution, or other organization, additional terms may apply between earlyderm and that organization. Your use of the Platform remains subject to these Terms.
5. Permitted Use
Subject to these Terms, earlyderm grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for your own internal, lawful, professional, and educational purposes.
You may use the Platform only:
• to access educational content and learning resources;
• to manage your account and preferences;
• to communicate with earlyderm regarding support, subscriptions, or Platform features; and
• for other purposes expressly authorized by earlyderm in writing.
Your rights are limited to the access and use expressly allowed in these Terms. No other rights are granted.
6. Prohibited Conduct
You may not, and may not permit any other person or entity to:
• use the Platform in violation of applicable law, regulation, licensing requirements, or professional standards;
• use the Platform for unlawful, misleading, fraudulent, harmful, or abusive purposes;
• upload, submit, store, post, transmit, or otherwise provide any content you do not have the right to provide;
• interfere with or disrupt the Platform, servers, networks, or security features;
• attempt to gain unauthorized access to any account, system, or data;
• probe, scan, or test the vulnerability of the Platform;
• copy, scrape, harvest, extract, or collect content or data from the Platform by automated means, except as expressly authorized in writing;
• reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, structure, or algorithms of the Platform, except to the extent prohibited by law from being restricted;
• remove, alter, or obscure copyright, trademark, or other proprietary notices;
• reproduce, republish, distribute, sell, lease, sublicense, or commercially exploit Platform content except as expressly permitted by these Terms;
• use the Platform to build or support a competing product or service;
• upload or transmit malware, malicious code, or harmful material;
• impersonate another person or misrepresent your identity, credentials, affiliation, or authority; or
• use the Platform in any manner that could harm earlyderm, other users, or third parties.
7. Strict Prohibition on Patient Data
The Platform is not intended for patient information.
You must not upload, submit, transmit, store, message, post, or otherwise provide through the Platform any:
• patient-identifiable information;
• protected health information (PHI);
• medical records;
• patient photographs;
• insurance information;
• dates of birth linked to patient identity;
• medical record numbers;
• social security numbers;
• clinical case details that identify or could reasonably identify a patient; or
• other patient data or sensitive patient-specific information.
This restriction applies to all parts of the Platform, including:
• account fields;
• message functions;
• uploads;
• forms;
• notes;
• support requests;
• feedback tools; and
• any free-text field or communication channel.
If you provide prohibited information, you do so in violation of these Terms. earlyderm may, in its sole discretion and to the extent permitted by law:
• remove or delete such content;
• restrict or terminate access;
• report misuse where appropriate;
• preserve records as needed to investigate or respond; and
• take any other action reasonably necessary to protect the Platform or others.
You remain solely responsible for ensuring that your use of the Platform does not involve patient data.
8. Educational Content Only
8.1 Educational Purpose
The Platform and all content made available through it are provided for educational and informational purposes only. This includes, without limitation:
• articles;
• modules;
• videos;
• presentations;
• checklists;
• summaries;
• templates;
• decision support concepts;
• clinical education materials;
• webinars;
• examples; and
• communications from earlyderm.
8.2 Not Medical Advice
The Platform does not provide:
• medical advice;
• diagnosis;
• treatment recommendations for any particular patient;
• clinical supervision;
• physician oversight;
• professional licensure guidance;
• emergency guidance;
• legal advice; or
• a substitute for independent professional judgment.
No content on the Platform should be understood as directing how to diagnose, treat, manage, refer, prescribe for, or otherwise care for any specific patient.
8.3 Independent Professional Judgment
You acknowledge and agree that:
• you remain solely responsible for all clinical decisions, acts, omissions, documentation, referrals, prescribing decisions, follow-up, and patient communications;
• you must exercise your own independent medical, professional, and clinical judgment at all times;
• you are responsible for evaluating the accuracy, completeness, relevance, and suitability of educational content for your own professional use;
• you are responsible for complying with all applicable laws, regulations, payer requirements, licensing rules, scope-of-practice limitations, institutional policies, and professional standards; and
• educational content may not reflect every clinical circumstance, patient presentation, geographic requirement, or practice setting.
You should not rely on the Platform as your sole source of information for any clinical, professional, legal, billing, regulatory, or operational decision.
9. No Provider-Patient Relationship; No Clinical Services
Use of the Platform does not create:
• a provider-patient relationship;
• a physician-patient relationship;
• a treatment relationship;
• a supervisory relationship;
• a referral relationship;
• a fiduciary relationship;
• a partnership, joint venture, or agency relationship between you and earlyderm; or
• any duty by earlyderm to provide medical care, clinical oversight, or individualized patient guidance.
earlyderm does not deliver healthcare services through the Platform and does not assume responsibility for patient care.
10. User Content
10.1 User Content Defined
If the Platform permits you to submit feedback, comments, survey responses, support requests, suggestions, or other materials, those materials are “User Content.”
10.2 Your Responsibility
You are solely responsible for your User Content and represent that:
• you own it or have all necessary rights to provide it;
• it does not violate these Terms;
• it does not include patient data or other prohibited information;
• it does not infringe, misappropriate, or violate any third-party rights; and
• it is not false, misleading, defamatory, unlawful, or harmful.
10.3 License to earlyderm
To the extent you submit User Content, you grant earlyderm a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and otherwise use that User Content as reasonably necessary to:
• operate the Platform;
• provide support;
• improve products and services;
• analyze usage and feedback;
• develop educational offerings; and
• enforce these Terms.
This license survives for as long as reasonably necessary for those purposes, subject to applicable law and our recordkeeping practices.
10.4 Feedback
If you provide ideas, suggestions, or feedback regarding the Platform, earlyderm may use them without restriction or compensation to you, and you waive any claim that such use requires permission or payment.
11. Intellectual Property
The Platform, and all content and materials made available through it, including all text, graphics, designs, logos, trademarks, service marks, videos, images, compilations, software, interfaces, functionality, and educational materials, are owned by or licensed to earlyderm and are protected by intellectual property and other applicable laws.
Except for the limited rights expressly granted in these Terms, no right, title, or interest in or to the Platform or any content is transferred to you.
earlyderm, its logos, branding, and related marks are the property of earlyderm LLC or its licensors. You may not use them without prior written permission.
12. Limited License to Educational Materials
Subject to these Terms, you may access and use educational materials made available on the Platform solely for your own internal educational and professional development purposes.
Unless earlyderm expressly permits otherwise in writing, you may not:
• copy or reproduce educational materials beyond incidental personal use;
• share access credentials with another person;
• distribute content outside your organization;
• post content publicly or on third-party platforms;
• sell, resell, license, sublicense, or commercially exploit content;
• create derivative works based on substantial portions of the content;
• remove attribution, branding, or legal notices; or
• use content in a way that suggests endorsement by earlyderm.
If earlyderm offers downloadable resources, any such use remains subject to the same license restrictions unless a separate written license states otherwise.
13. Fees, Payment, and Subscriptions
Some features, content, courses, memberships, subscriptions, or other offerings available through or in connection with the Platform may require payment. Payment terms, pricing, billing frequency, renewal terms, cancellation rights, refund policies, and other transaction terms may be presented through a third-party platform, payment processor, learning management system, app store, marketplace, or other service provider. If you purchase access to any paid offering through a third-party platform or service, your purchase may be subject to that third party's terms, conditions, payment policies, cancellation procedures, refund rules, and privacy practices. earlyderm does not control and is not responsible for third-party payment processing, billing systems, platform terms, or refund procedures, except to the extent expressly stated by earlyderm in writing. You are responsible for reviewing and complying with all applicable purchase terms before completing a transaction. If earlyderm separately provides written order terms, subscription terms, or cancellation/refund policies for a paid offering, those terms will apply to that offering in addition to these Terms. Except as expressly stated by earlyderm in writing or required by applicable law, fees paid for access to paid offerings are non-refundable.
14. Third-Party Services and Links
The Platform may contain links to third-party websites, resources, integrations, tools, payment processors, webinar providers, analytics services, or other services not controlled by earlyderm.
We do not control and are not responsible for:
• third-party content;
• third-party availability;
• third-party terms or privacy practices; or
• losses or damages arising from your use of third-party services.
Your interactions with third parties are governed by the third party’s own terms and policies. You access third-party services at your own risk.
15. Privacy
Your use of the Platform is also subject to the earlyderm Privacy Policy, which describes how we collect, use, and share information relating to the Platform. By using the Platform, you acknowledge that:
• the Privacy Policy applies to applicable personal information we collect through the Platform; and
• the Platform is not intended for patient-identifiable information, protected health information, or other patient data.
We use commercially reasonable efforts to protect information collected through the Platform, but no system is completely secure. You acknowledge that unauthorized access, use, or disclosure of your information is possible despite these efforts, and that your use of the Platform is at your own risk with respect to such potential incidents.
16. Communications
You agree that earlyderm may send you communications relating to the Platform, including:
• account and login notices;
• support responses;
• transactional messages;
• subscription or billing notices;
• security alerts;
• legal notices;
• updates about Platform features; and
• educational, promotional, or marketing communications where permitted by law.
You may opt out of marketing emails using the unsubscribe mechanism provided or by contacting us at [email protected]. You may still receive non-marketing messages necessary for account administration, transactions, security, or legal compliance.
17. Suspension and Termination
17.1 By earlyderm
We may suspend, restrict, disable, or terminate your access to all or part of the Platform at any time, with or without notice, if we believe that:
• you violated these Terms;
• you provided prohibited patient data;
• your use creates security, legal, reputational, or operational risk;
• your account information is inaccurate or misleading;
• fees are past due, if applicable;
• required verification cannot be completed; or
• suspension or termination is otherwise necessary to protect earlyderm, users, or third parties.
17.2 By You
You may stop using the Platform at any time. If you have a paid subscription, cancellation may be subject to applicable billing terms or an order form.
17.3 Effect of Termination
Upon suspension or termination:
• your right to use the Platform ends immediately;
• we may disable access to your account and User Content;
• licenses granted to you under these Terms terminate; and
• sections that by their nature should survive will survive, including sections relating to intellectual property, disclaimers, limitation of liability, indemnification, disputes, and miscellaneous terms.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT, MATERIALS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
EARLYDERM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF:
• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• ACCURACY;
• COMPLETENESS;
• RELIABILITY; and
• QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, EARLYDERM DOES NOT WARRANT THAT:
• THE PLATFORM WILL MEET YOUR REQUIREMENTS;
• THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
• CONTENT WILL BE CURRENT, COMPLETE, OR SUITABLE FOR ANY PARTICULAR CLINICAL, PROFESSIONAL, OR BUSINESS USE;
• DEFECTS WILL BE CORRECTED; OR
• THE PLATFORM WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU USE THE PLATFORM AT YOUR OWN RISK.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EARLYDERM AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
• YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM;
• YOUR RELIANCE ON EDUCATIONAL CONTENT;
• CLINICAL, PROFESSIONAL, OR BUSINESS DECISIONS MADE BY YOU OR OTHERS;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INFORMATION;
• THIRD-PARTY SERVICES OR CONTENT; OR
• THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF EARLYDERM FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
• THE AMOUNT YOU PAID TO EARLYDERM FOR THE PLATFORM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• US $500.
20. Indemnification
You agree to defend, indemnify, and hold harmless earlyderm and its officers, directors, members, employees, contractors, licensors, affiliates, service providers, and agents from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
• your use of the Platform;
• your violation of these Terms;
• your violation of applicable law, regulation, or professional obligation;
• your User Content;
• your submission of patient-identifiable information, PHI, or other prohibited data; or
• your infringement or violation of any third-party rights.
earlyderm reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.
21. Changes to the Platform
We may modify, suspend, discontinue, or update any part of the Platform at any time, including features, content, availability, design, or functionality, without liability to you. We are not obligated to maintain any particular feature, content library, integration, or offering for any specific period.
22. Changes to These Terms
We may revise these Terms from time to time. When we do, we will post the updated version and revise the Effective Date above.
If changes are material, we may provide additional notice through the Platform, by email, or by other reasonable means.
Your continued use of the Platform after the updated Terms become effective means you accept the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and each party consents to the personal jurisdiction and venue of those courts.

25. Miscellaneous
25.1 Entire Agreement
These Terms, together with any applicable order form, subscription terms, or policies expressly incorporated by reference, constitute the entire agreement between you and earlyderm regarding the Platform.
25.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
25.3 Waiver
A failure by earlyderm to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
25.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, asset sale, financing, or by operation of law.
25.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
25.6 Force Majeure
earlyderm will not be liable for delays or failures to perform resulting from causes beyond its reasonable control, including natural disasters, internet or utility failures, labor disputes, war, terrorism, civil disturbances, epidemics, government actions, or service provider failures.
25.7 Electronic Communications
You agree that these Terms and any notices, disclosures, or communications regarding the Platform may be provided electronically.
25.8 Interpretation
Headings are for convenience only and do not affect interpretation. The words “including” and “include” mean “including without limitation.”
